1. Definitions

For the purposes of these License Terms:

  • “Service” means the lesswork Voicebot platform, including associated AI-powered voice, messaging, routing, workflow, automation, orchestration, and telephony services provided by lesswork Productivity Solutions.
  • “Licensee” means the customer purchasing or using the Service.
  • “Users” means employees, contractors, representatives, or authorized personnel of the Licensee using the Service.
  • “Professional Services” means any paid customization, integration, configuration, workflow modification, deployment assistance, consulting, or related services provided by lesswork Productivity Solutions.
  • “Customer Data” means information, inputs, call metadata, transcripts, recordings, messages, or other data submitted to or processed through the Service by the Licensee or its end users.
  • “Third-Party Services” means external infrastructure, telecommunications providers, AI providers, cloud services, messaging platforms, APIs, or related systems used in connection with the Service.

2. Scope and Subject Matter of the Agreement

These License Terms govern the use of the lesswork Voicebot Service and any associated Professional Services provided by lesswork Productivity Solutions.

By accessing or using the Service, the Licensee agrees to be bound by these License Terms.

The Service is intended exclusively for professional and commercial use. Consumers are excluded from use of the Service.

Entities developing, distributing, or operating competing AI, telephony, conversational automation, or related products or services may not use the Service without prior written authorization from lesswork Productivity Solutions.

3. License Grant

lesswork Productivity Solutions grants the Licensee a non-exclusive, non-transferable, revocable license to access and use the Service solely for internal business purposes and subject to these License Terms.

No ownership rights are transferred to the Licensee.

Except for the limited rights expressly granted under these License Terms, no license or ownership rights are transferred or implied.

4. Permitted and Prohibited Use

4.1 Permitted Use

The Service may be used solely for lawful business-related communication, routing, automation, customer interaction, and operational support activities.

4.2 Prohibited Use

The Licensee may not:

  • use the Service for unlawful, fraudulent, abusive, or unauthorized purposes;
  • reverse engineer, decompile, disassemble, replicate, scrape, or attempt to discover the underlying architecture, prompts, workflows, orchestration logic, evaluators, routing structures, or system logic of the Service;
  • use the Service, outputs, workflows, prompts, conversational structures, or related materials to train, develop, benchmark, or improve competing products or services;
  • sublicense, resell, lease, distribute, or transfer the Service without prior written authorization;
  • use the Service for medical diagnosis, medical triage, emergency-response assessment, legal advice, legal determinations, or other regulated professional determinations;
  • use the Service as the sole or primary basis for decisions involving healthcare treatment, emergency response, legal rights, financial approvals, personal safety, or other high-risk determinations;
  • represent the Service as a substitute for licensed professional judgment or regulated professional services.

The Licensee is responsible for ensuring compliance by all Users.

lesswork Productivity Solutions reserves the right to refuse, suspend, or terminate deployments presenting excessive legal, regulatory, operational, reputational, or security risk.

5. Nature of the Service and AI Disclaimer

The Service is a technology platform utilizing automated and AI-assisted systems.

The Service may generate outputs, responses, routing decisions, classifications, or conversational interactions based on probabilistic systems and external inputs.

lesswork Productivity Solutions does not guarantee that outputs generated by the Service will be accurate, complete, uninterrupted, error-free, or suitable for any specific purpose.

Unless expressly agreed in writing, no guaranteed uptime, service-level agreement, recovery time objective, or uninterrupted availability obligation applies.

The Service does not provide legal, medical, financial, regulatory, or other professional advice.

Human oversight and review remain the responsibility of the Licensee.

6. Customer Responsibilities

The Licensee remains solely responsible for:

  • all operational, legal, medical, commercial, regulatory, or customer-facing decisions made using the Service;
  • compliance with all applicable laws and regulations;
  • maintaining appropriate human oversight and escalation procedures;
  • maintaining alternative communication channels for urgent or emergency situations where applicable;
  • verifying the suitability of the Service for the Licensee’s intended use case.

The Licensee acknowledges that the Service is an operational support tool and not a replacement for regulated professional services or human judgment.

7. Third-Party Infrastructure and Dependencies

The Service may depend in whole or in part on Third-Party Services, including telecommunications providers, cloud infrastructure providers, AI providers, messaging platforms, APIs, and external network infrastructure.

lesswork Productivity Solutions will use commercially reasonable efforts to monitor, respond to, and mitigate service interruptions or degradation affecting the Service.

However, lesswork Productivity Solutions shall not be liable for outages, interruptions, delays, routing failures, latency, degradation, or unavailability caused wholly or partially by Third-Party Services or infrastructure outside its reasonable control.

8. Hosting and Deployment Model

The Service is provided using lesswork Productivity Solutions’ standard deployment and infrastructure model.

Dedicated hosting, private hosting, customer-controlled hosting, specific geographic hosting locations, or data residency commitments are not included unless expressly agreed in writing.

Any custom deployment arrangement may be subject to additional fees, technical limitations, implementation timelines, third-party dependencies, and modified support terms.

9. Fees and Payment

9.1 Payment Terms

Fees are payable in advance unless otherwise agreed in writing.

The standard billing period runs from the 15th day of each month through the 14th day of the following month.

Invoices are issued on the 15th and due by the 30th of the same month.

Usage exceeding included allowances may be billed retroactively on subsequent invoices.

9.2 Late Payment

lesswork Productivity Solutions reserves the right to suspend or limit access to the Service in the event of overdue payments.

Statutory late-payment interest under applicable Austrian commercial law may apply.

9.3 Price Adjustments

lesswork Productivity Solutions may adjust pricing periodically to reflect inflation, third-party cost increases, exchange-rate changes, or operational cost changes.

Reasonable advance notice will be provided.

10. Contract Term and Termination

10.1 Pilot Phase

Unless otherwise agreed in writing, pilot deployments shall run for a fixed term of three (3) months.

Pilot agreements do not renew automatically unless expressly converted into a rollout agreement in writing.

10.2 Rollout Term

Unless otherwise agreed in writing, rollout agreements shall remain in effect for an initial fixed term of twelve (12) months.

10.3 Renewal

Following the initial rollout term, the Agreement shall automatically renew on a month-to-month basis unless terminated by either party with sixty (60) days’ written notice.

10.4 Termination for Cause

lesswork Productivity Solutions may suspend or terminate the Service immediately if:

  • the Licensee materially breaches these Terms;
  • the Licensee uses the Service in a prohibited or unlawful manner;
  • continued operation creates legal, regulatory, operational, reputational, or security risk;
  • payment obligations remain unpaid.

10.5 Effect of Termination

Upon termination:

  • all licenses terminate immediately;
  • outstanding amounts become immediately due;
  • the Licensee must cease all use of the Service;
  • confidential information must be returned or destroyed upon request.

10.6 Discretionary Accommodation

Any waiver, accommodation, negotiated wind-down arrangement, or early termination concession granted by lesswork Productivity Solutions shall be granted solely at its discretion and shall not constitute a waiver of future enforcement rights.

11. Intellectual Property

All intellectual property rights relating to the Service remain the exclusive property of lesswork Productivity Solutions.

This includes, without limitation:

  • prompts;
  • conversational structures;
  • routing logic;
  • orchestration methods;
  • evaluators;
  • workflows;
  • automation logic;
  • integrations;
  • configurations;
  • deployment methods;
  • multilingual system structures;
  • customizations;
  • derivative works;
  • related documentation and methodologies.

Unless expressly agreed otherwise in writing, all custom developments, configurations, workflows, prompts, and related materials created by lesswork Productivity Solutions remain the exclusive intellectual property of lesswork Productivity Solutions.

Payment for Professional Services does not transfer ownership of intellectual property rights.

12. Confidentiality

Each party agrees to protect the confidential information of the other party.

Customer Data shall be treated as confidential information.

Confidential information may not be disclosed except where required by law.

13. Data Protection and Retention

lesswork Productivity Solutions may process and retain technical logs, transcripts, metadata, recordings, and diagnostic records solely for support, maintenance, troubleshooting, security, fraud prevention, operational monitoring, service reliability, and compliance purposes.

Unless otherwise agreed in writing, retention periods may vary according to operational and technical requirements.

Upon written request, certain categories of logs, recordings, or transcripts may be shortened, anonymized, disabled, or deleted, provided that such limitations may reduce troubleshooting capability, support quality, auditability, or service optimization capacity.

All data processing shall be carried out in accordance with applicable data protection laws.

14. Indemnification

The Licensee agrees to indemnify, defend, and hold harmless lesswork Productivity Solutions and its officers, employees, contractors, and affiliates against claims, damages, liabilities, losses, costs, and expenses arising from:

  • misuse of the Service by the Licensee or its Users;
  • unlawful or prohibited use of the Service;
  • violation of applicable laws or regulations by the Licensee;
  • claims arising from the Licensee’s business operations, customer interactions, or regulated activities.

This indemnification obligation shall not apply to the extent such claims arise from the gross negligence or willful misconduct of lesswork Productivity Solutions.

15. Warranty Disclaimer

Except as expressly stated in these Terms, the Service is provided “as is” and “as available.”

lesswork Productivity Solutions disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

lesswork Productivity Solutions shall not be liable for:

  • indirect, incidental, consequential, or special damages;
  • lost profits;
  • reputational harm;
  • loss of business opportunity;
  • data loss;
  • interruption of business operations;
  • third-party service failures.

To the maximum extent permitted by law, the total aggregate liability of lesswork Productivity Solutions, whether arising in contract, tort, negligence, statute, or otherwise, arising out of or relating to the Service shall not exceed the total amount paid by the Licensee during the three (3) months preceding the event giving rise to the claim.

17. Force Majeure

lesswork Productivity Solutions shall not be liable for delays, interruptions, or failures arising from events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, telecommunications failures, internet disruptions, governmental actions, sanctions, cyberattacks, infrastructure failures, or failures of Third-Party Services.

18. Export Control and Sanctions

The Licensee may not use the Service in violation of applicable export control laws, sanctions regulations, or trade restrictions.

19. General Provisions

These License Terms constitute the complete agreement between the parties unless supplemented by a separate written agreement.

If any provision is held unenforceable, the remaining provisions shall remain in effect.

These Terms shall be governed by Austrian law.

Exclusive jurisdiction shall lie with the courts of Vienna, Austria.

The original version of these Terms is the English-language version. Any translations are provided for convenience only.

20. Professional Services

Requests for modifications, integrations, custom workflows, deployment changes, or additional functionality may constitute Professional Services and may be billed separately.

Professional Services are subject to technical feasibility review and separate commercial agreement where applicable.
